1. Agreement to Terms#
These Terms of Service (these "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," or "Customer") and InvokeIQ ("we," "us," or "our"), concerning your access to and use of the invokeiq.com website as well as any other media form, media channel, mobile website, or application related, linked, or otherwise connected thereto, including the InvokeIQ software-as-a-service platform, API, and associated tools (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and all applicable laws and regulations. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.
2. Eligibility and Authority#
The Service is intended solely for users who are eighteen (18) years of age or older. Any registration by, use of, or access to the Service by anyone under 18 is strictly prohibited and in violation of these Terms. By using the Service, you represent and warrant that you are 18 or older and that you have the right, authority, and capacity to enter into this agreement and to abide by all of the terms and conditions set forth herein. If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms "you" or "your" shall refer to such entity and its affiliates.
3. Account Creation, Security, and Administration#
- 3.1 Account Creation. To access certain features of the Service, you may be required to register for an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form and to maintain and promptly update this information.
- 3.2 Account Security. You are entirely responsible for maintaining the confidentiality of your account credentials, including your password, API keys, and connected email account credentials (e.g., App Passwords, OAuth tokens). You agree to notify us immediately of any unauthorized access to or use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.
- 3.3 Account Administration. The individual creating the account is the "Account Owner" and possesses ultimate authority over the account, including billing, team member management, and workspace deletion. You are responsible for all activities that occur under your account, whether authorized by you or not.
4. Subscription, Fees, and Payment Terms#
- 4.1 Merchant of Record. We utilize a third-party Merchant of Record (e.g., Paddle, Dodo Payments) to process all transactions. By completing a purchase, you agree to the terms and conditions of our Merchant of Record. They handle tax calculation, collection, and remittance based on your jurisdiction.
- 4.2 Subscription Fees. The Service is offered on a tiered subscription basis. Fees are billed in advance on a recurring and periodic basis (e.g., monthly or annually) ("Billing Cycle").
- 4.3 Automatic Renewal. At the end of each Billing Cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal either through your online account management page or by contacting our customer support team.
- 4.4 AI Credits and Overage. Certain plans include a monthly allocation of AI credits. Unused credits do not roll over to the next Billing Cycle. You may purchase additional, non-expiring AI credit packs separately.
- 4.5 Fee Changes. InvokeIQ, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
- 4.6 Taxes. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes based solely on InvokeIQ's income.
5. Intellectual Property and Licenses#
- 5.1 InvokeIQ IP. The Service and its original content (excluding User Content), features, and functionality, including but not limited to all software, algorithms, designs, text, graphics, and logos, are and will remain the exclusive property of InvokeIQ and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
- 5.2 Limited License to You. Subject to your strict compliance with these Terms, InvokeIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes.
- 5.3 Feedback. You may submit comments, suggestions, or ideas about the Service ("Feedback"). By submitting Feedback, you agree that we are free to use such Feedback for any purpose and without restriction or compensation to you.
6. User Content and Data#
- 6.1 Definition. "User Content" means any data, text, files, contact lists, email copy, and other content that you upload, post, or transmit through the Service.
- 6.2 Ownership. You retain all rights, title, and interest in and to your User Content. We claim no intellectual property rights over the material you provide to the Service.
- 6.3 License to InvokeIQ. By providing User Content, you grant InvokeIQ a worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display such User Content strictly as necessary to provide, maintain, and improve the Service.
- 6.4 Data Accuracy and Legality. You bear sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all User Content. You represent and warrant that you have obtained all necessary rights, permissions, and consents under applicable laws to process the personal data of the contacts in your User Content.
7. Third-Party Services and Integrations#
The Service integrates with third-party providers, including email service providers (e.g., Google Workspace, Microsoft Outlook) and AI models (e.g., OpenAI, Anthropic).
- Your use of third-party services is governed by their respective terms of service and privacy policies.
- InvokeIQ does not endorse and is not responsible or liable for the availability, accuracy, or reliability of any third-party services.
- We cannot guarantee that third-party email providers will not suspend, throttle, or terminate your connected email accounts based on their own policies. InvokeIQ is not liable for any such actions taken by third-party providers.
8. Disclaimer of Warranties#
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. INVOKEIQ AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
INVOKEIQ MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS; (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE (INCLUDING NO GUARANTEES REGARDING INBOX PLACEMENT, DELIVERABILITY RATES, OR OPEN RATES); OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
9. Limitation of Liability#
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOKEIQ, ITS FOUNDER, AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES (EVEN IF INVOKEIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (III) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE.
IN NO EVENT SHALL INVOKEIQ'S TOTAL, AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO INVOKEIQ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED.
10. Indemnification#
You agree to defend, indemnify, and hold harmless InvokeIQ, its independent contractors, service providers, and consultants, and their respective directors, employees, founder, and agents, from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to:
- (a) your use of the Service;
- (b) your User Content, including any claim that your User Content violates any applicable law or infringes the rights of any third party;
- (c) your violation of these Terms or the Acceptable Use Policy;
- (d) your violation of any rights of another; or
- (e) your conduct in connection with the Service (including claims brought by recipients of your emails alleging spam, lack of consent, or violation of anti-spam regulations such as CAN-SPAM, GDPR, or CASL).
11. Term and Termination#
- 11.1 Term. These Terms shall remain in full force and effect while you use the Service.
- 11.2 Termination by You. You may terminate your account at any time via the billing settings in your dashboard.
- 11.3 Termination by Us. We may suspend or terminate your account and your access to the Service at any time, for any reason, and without advance notice. If we terminate your account due to a violation of our Acceptable Use Policy (e.g., sending spam), you will not receive a refund for any prepaid fees or unused credits.
- 11.4 Effect of Termination. Upon termination of your account, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Dispute Resolution and Binding Arbitration#
- 12.1 Informal Resolution. Before filing a claim against InvokeIQ, you agree to try to resolve the dispute informally by contacting support@invokeiq.com. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or InvokeIQ may bring a formal proceeding.
- 12.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.
- 12.3 Class Action Waiver. YOU AND INVOKEIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. Miscellaneous#
- 13.1 Force Majeure. InvokeIQ shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.
- 13.2 Entire Agreement. These Terms, along with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and InvokeIQ and govern your use of the Service, superseding any prior agreements.
- 13.3 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
- 13.4 Waiver. The failure of InvokeIQ to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
